# SELLER ELIGIBILITY & REQUIREMENTS POLICY

## 1. PURPOSE

This Policy sets out the requirements for individuals and businesses that wish to register and sell Products through the Sotibuy marketplace.

Sotibuy wants to make it easy for genuine Sellers to join the marketplace while maintaining a safe, reliable and trustworthy shopping environment for Buyers.

## 2. WHO CAN SELL ON SOTIBUY

Sotibuy may accept applications from:

- Individuals selling Products legally.
- Sole proprietors.
- Registered businesses.
- Partnerships.
- Companies.
- Manufacturers.
- Distributors.
- Wholesalers.
- Retailers.
- Artisans and skilled producers.
- Other legitimate merchants approved by Sotibuy.

Sotibuy may impose additional requirements on particular businesses, Products or categories where reasonably necessary.

## 3. BASIC SELLER REQUIREMENTS

Every Seller must:

- Be at least 18 years old, unless otherwise permitted by applicable law and Sotibuy policy.
- Provide accurate registration information.
- Provide a valid means of identification.
- Provide a valid phone number.
- Provide a valid email address.
- Provide accurate location information.
- Provide valid payout/bank information.
- Agree to the Sotibuy Seller Agreement and applicable Seller Policies.
- Sell Products that are lawful and permitted on Sotibuy.

## 4. INDIVIDUAL SELLERS

An individual Seller may register using their personal details.

The Seller may be required to provide:

- Full legal name.
- Date of birth where reasonably required.
- Valid government-issued identification.
- Phone number.
- Email address.
- Residential or business location.
- Bank account or other approved payout information.

Sotibuy may request additional information where reasonably necessary to verify identity or prevent fraud.

## 5. BUSINESS SELLERS

Businesses may be required to provide:

- Registered business name.
- Business address.
- Business registration details where applicable.
- Name of owner, director, partner or authorized representative.
- Valid identification of the authorized representative.
- Business contact information.
- Bank or approved payout information.
- Relevant licences or permits where applicable.

Sotibuy may request evidence of business registration where the nature or scale of the business makes such verification appropriate.

## 6. BUSINESS REGISTRATION

Sotibuy does not necessarily require every Seller to have a registered company before joining the marketplace.

However, Sellers must comply with all applicable Nigerian legal requirements relating to their businesses.

Sotibuy may require formal business registration for particular Sellers, categories or business activities where reasonably necessary.

## 7. PRODUCT REQUIREMENTS

Every Product offered on Sotibuy must:

- Be legally permitted for sale.
- Be accurately described.
- Be genuine where authenticity is represented.
- Be in the condition stated in the listing.
- Have accurate pricing.
- Have accurate stock information.
- Comply with applicable safety requirements.
- Comply with Sotibuy's Prohibited & Restricted Products Policy.

## 8. PRODUCT-SPECIFIC REQUIREMENTS

Certain Products may require additional information, licences, permits, certificates or regulatory approvals.

Sotibuy may request such documentation before approving a Product or Seller.

This may apply particularly to regulated or sensitive categories.

## 9. FOOD, GROCERIES AND CONSUMABLES

Sellers offering food, beverages, cosmetics or other consumable Products must comply with applicable Nigerian laws and regulatory requirements.

Where applicable, Sellers may be required to provide information such as:

- Ingredients.
- Expiry date.
- Batch information.
- Manufacturer information.
- Product registration or approval information.
- Storage requirements.
- Relevant permits or licences.

Sotibuy may restrict Products that do not meet applicable requirements.

## 10. BEAUTY AND PERSONAL CARE PRODUCTS

Sellers of beauty and personal-care Products must ensure that their Products are genuine, safe and lawfully offered for sale.

Where applicable, Sotibuy may request evidence of regulatory compliance, Product registration, source or authorization.

## 11. PHONES, GADGETS AND ELECTRONICS

Sellers of electronics must provide accurate information about:

- Brand.
- Model.
- Condition.
- Specifications.
- Warranty where applicable.
- Accessories included.
- New, used or refurbished status.

Sellers must not misrepresent refurbished, used or repaired Products as new.

## 12. FASHION AND CLOTHING

Sellers must provide accurate information about:

- Product type.
- Size.
- Material where relevant.
- Colour.
- Condition.
- Quantity available.

Images and descriptions must reasonably represent the Product being sold.

## 13. BOOKS

Sellers may offer new or used books where permitted.

Listings should accurately state:

- Book title.
- Author.
- Edition where relevant.
- Condition.
- Publisher where relevant.
- Whether the book is original, licensed or otherwise lawfully offered.

Sellers must not knowingly offer pirated or unlawfully reproduced books or publications.

## 14. PROHIBITED PRODUCTS

Sellers must not list Products prohibited under Nigerian law or the Sotibuy Prohibited & Restricted Products Policy.

Sotibuy may remove a listing, suspend a Seller or take other appropriate action where prohibited Products are identified.

## 15. SELLER VERIFICATION

Sotibuy may verify Seller information before or after approval.

Verification may include:

- Identity verification.
- Business verification.
- Contact verification.
- Bank/payout verification.
- Product verification.
- Source or authenticity verification.
- Location verification.

Verification requirements may differ depending on the Seller and Products involved.

## 16. SELLER LOCATION

Sellers must provide accurate information about where Products are stored or fulfilled from.

This information assists Sotibuy with:

- Order collection.
- Delivery planning.
- Customer service.
- Fraud prevention.
- Marketplace operations.

Sellers must notify Sotibuy when their relevant business or fulfilment location changes.

## 17. BANK AND PAYOUT INFORMATION

Sellers must provide valid payout information.

The name associated with the payout account should reasonably correspond with the Seller's verified identity or business information, subject to Sotibuy's approved payout arrangements.

Sotibuy may conduct additional verification where there is a mismatch or other reasonable concern.

## 18. SELLER CONTACT INFORMATION

Sellers must maintain active:

- Phone number.
- Email address.
- Seller account information.

Sotibuy may use these details for:

- Order notifications.
- Account communications.
- Verification.
- Customer service.
- Policy updates.
- Security alerts.

## 19. MULTIPLE SELLER ACCOUNTS

A Seller should not create multiple Seller accounts for the purpose of:

- Evading restrictions.
- Manipulating reviews.
- Circumventing commission rules.
- Creating fake transactions.
- Circumventing suspension.
- Engaging in other prohibited conduct.

Sotibuy may approve multiple legitimate business accounts where there is a valid commercial reason.

## 20. SELLER ACCOUNT SECURITY

Sellers are responsible for maintaining reasonable security over their accounts.

Sellers must not knowingly share passwords or authentication information with unauthorized persons.

A Seller must promptly notify Sotibuy of suspected unauthorized access.

## 21. SELLER INFORMATION UPDATES

Sellers must keep their information accurate and current.

Changes to important information such as:

- Name.
- Business information.
- Phone number.
- Email address.
- Payout information.
- Fulfilment location.

may require additional verification.

## 22. COMPLIANCE WITH NIGERIAN LAW

Every Seller is responsible for complying with laws and regulations applicable to their business and Products.

Depending on the nature of the Seller's activities, this may include requirements relating to:

- Consumer protection.
- Product safety.
- Taxes.
- Intellectual property.
- Business registration.
- Food and health products.
- Advertising.
- Data protection.
- Other applicable regulatory requirements.

## 23. SELLER APPROVAL

Meeting the basic requirements does not automatically guarantee approval.

Sotibuy may consider:

- Verification results.
- Product suitability.
- Marketplace safety.
- Seller history.
- Fraud risk.
- Regulatory requirements.
- Availability of appropriate documentation.

Sotibuy may approve, reject, restrict or request additional information regarding an application.

## 24. ADDITIONAL INFORMATION

Sotibuy may request additional information or documents where reasonably necessary to:

- Verify a Seller.
- Verify Products.
- Prevent fraud.
- Protect Buyers.
- Comply with legal obligations.
- Investigate complaints.
- Protect the Sotibuy marketplace.

## 25. FAILURE TO PROVIDE REQUIRED INFORMATION

Where a Seller fails to provide required information within a reasonable period, Sotibuy may:

- Delay approval.
- Restrict certain Products.
- Restrict selling activity.
- Suspend the account.
- Take other appropriate action.

## 26. VERIFICATION DOES NOT GUARANTEE PRODUCT QUALITY

Seller verification does not constitute a guarantee by Sotibuy that every Product offered by the Seller is suitable, safe, authentic or defect-free.

Sellers remain responsible for their Products and obligations under the Seller Agreement.

## 27. SELLER RESPONSIBILITY

Approval to sell through Sotibuy does not transfer the Seller's legal responsibilities to Sotibuy.

The Seller remains responsible for:

- Products.
- Product information.
- Business compliance.
- Required licences.
- Taxes applicable to the Seller.
- Product authenticity.
- Fulfilment obligations.
- Compliance with applicable laws.

## 28. REVIEW OF SELLER ELIGIBILITY

Sotibuy may periodically review Seller eligibility.

A Seller that previously satisfied the requirements may later be required to provide additional information where circumstances have changed or new legal, safety or marketplace requirements apply.

## 29. SUSPENSION OR REMOVAL

Sotibuy may suspend or remove a Seller where the Seller:

- Provides fraudulent information.
- Sells prohibited Products.
- Repeatedly violates Sotibuy policies.
- Engages in fraud.
- Provides counterfeit Products.
- Fails important verification requirements.
- Creates serious customer-safety concerns.
- Seriously damages marketplace trust or security.

## 30. POLICY CHANGES

Sotibuy may update this Policy where reasonably necessary because of:

- Changes in Nigerian law.
- Regulatory developments.
- Marketplace growth.
- New Product categories.
- Security requirements.
- Operational requirements.

Material changes will be communicated appropriately.

## 31. SELLER ACCEPTANCE

By applying to sell on Sotibuy and accepting the applicable Seller Agreement and policies, the Seller confirms that:

- The information provided is accurate.
- The Seller is legally entitled to sell the Products listed.
- The Seller will comply with applicable Nigerian law.
- The Seller will comply with Sotibuy policies.
- The Seller will provide additional verification information where reasonably required.
- The Seller understands that approval to sell is subject to Sotibuy's marketplace requirements.
