# BUYER TERMS & CONDITIONS

## 1. INTRODUCTION

Welcome to Sotibuy.

These Buyer Terms & Conditions ("Terms") govern your access to and use of the Sotibuy website, platform, marketplace and related services.

By creating an account, accessing the Platform, placing an Order or otherwise using Sotibuy as a Buyer, you agree to these Terms and the other applicable Sotibuy policies.

If you do not agree with these Terms, you should not use Sotibuy as a Buyer.

## 2. ABOUT SOTIBUY

Sotibuy operates an online marketplace that allows Buyers to discover and purchase Products offered by independent Sellers.

Sotibuy facilitates the marketplace, payment and Order process and manages or coordinates delivery and logistics for Orders through its designated logistics arrangements.

Unless expressly stated otherwise, the Seller is the party offering the Product for sale.

## 3. BUYER ELIGIBILITY

You must provide accurate information when creating an account.

You must be legally capable of entering into contracts under applicable Nigerian law.

Where a Product has an age restriction or other legal requirement, you must satisfy the applicable requirement before purchasing it.

## 4. BUYER ACCOUNT

You may be required to create an account to access certain Sotibuy services.

You are responsible for:

- Providing accurate information.
- Keeping your account information updated.
- Protecting your login details.
- Maintaining the confidentiality of your account.
- Not allowing unauthorized persons to misuse your account.

You should promptly notify Sotibuy if you suspect unauthorized access to your account.

## 5. ONE PERSON, ONE ACCOUNT

You should not create multiple Buyer accounts for fraudulent, abusive or prohibited purposes.

Sotibuy may restrict or suspend accounts that are used to manipulate promotions, reviews, refunds, Orders or other marketplace activities.

## 6. PRODUCT LISTINGS

Products displayed on Sotibuy are offered by Sellers.

Sotibuy requires Sellers to provide accurate Product information, including where applicable:

- Product name.
- Description.
- Images.
- Price.
- Availability.
- Specifications.
- Condition.
- Warranty information.

Sotibuy may correct, remove or restrict listings that contain inaccurate or misleading information.

## 7. PRODUCT PRICES

The price displayed for a Product is the applicable Product selling price at the time of purchase, subject to obvious pricing errors or applicable promotional terms.

Prices may change before an Order is placed.

Once an Order is successfully placed, Sotibuy will process it in accordance with the applicable Order terms.

## 8. PRICING ERRORS

Although Sotibuy and Sellers make reasonable efforts to ensure pricing accuracy, an obvious pricing error may occur.

Where an Order has been placed at an obviously incorrect price, Sotibuy may contact the Buyer and provide an opportunity to confirm the purchase at the correct price or cancel and refund the Order where appropriate.

## 9. PRODUCT AVAILABILITY

Product availability may change.

A Product being displayed on the Platform does not guarantee that it will always remain available.

Where a Product becomes unavailable after an Order is placed, Sotibuy may cancel the affected Order and refund the Buyer as appropriate.

## 10. PLACING AN ORDER

A Buyer may place an Order by following the purchasing process provided on the Platform.

Before submitting an Order, the Buyer should review:

- Products selected.
- Quantity.
- Product price.
- Delivery address.
- Delivery fee.
- Applicable discounts.
- Total amount payable.

## 11. ORDER ACCEPTANCE

Submitting an Order does not necessarily mean that the Order has been finally accepted.

Sotibuy may decline or cancel an Order where reasonably necessary, including where:

- The Product is unavailable.
- Payment cannot be confirmed.
- Fraud is suspected.
- The Product listing contains a serious error.
- Delivery cannot reasonably be completed.
- The Order violates applicable law or Sotibuy policy.

## 12. ORDER CONFIRMATION

Where an Order is successfully accepted, Sotibuy may provide an Order confirmation through the Platform, email, SMS or other available communication method.

## 13. DELIVERY

Sotibuy will manage or coordinate delivery and logistics for Orders through its designated delivery arrangements.

Delivery availability may depend on the Buyer's location, Product type and other operational factors.

## 14. DELIVERY FEES

The Buyer ordinarily pays the applicable delivery fee.

Delivery fees may vary based on factors including:

- Delivery location.
- Distance.
- Product size or weight.
- Delivery method.
- Delivery urgency.
- Other applicable logistics factors.

The applicable delivery fee will ordinarily be displayed before the Buyer completes the Order.

## 15. DELIVERY ADDRESS

The Buyer is responsible for providing a correct and complete delivery address.

This may include:

- House or building number.
- Street.
- Area.
- City.
- State.
- Relevant landmark.
- Correct phone number.

Sotibuy is not responsible for delivery failure caused by materially incorrect or incomplete information provided by the Buyer, subject to applicable law.

## 16. DELIVERY ATTEMPTS

Sotibuy or its designated logistics partner may make reasonable delivery attempts.

The Buyer may be required to:

- Remain available.
- Answer delivery calls.
- Provide reasonable directions.
- Receive the Order.
- Provide necessary delivery confirmation.

## 17. FAILED DELIVERY

Where delivery fails because the Buyer:

- Provides an incorrect address.
- Is unavailable.
- Refuses to receive the Order without a valid reason.
- Provides inaccurate contact information.
- Otherwise prevents delivery.

Sotibuy may make another delivery attempt or return the Order in accordance with its applicable logistics arrangements.

Additional delivery costs may apply where reasonably justified and permitted by law.

## 18. INSPECTION UPON DELIVERY

Buyers are encouraged to inspect Products upon delivery where reasonably practicable.

Where visible damage or an obvious discrepancy is identified, the Buyer should report it to Sotibuy promptly.

## 19. RETURNS AND REFUNDS

Returns and refunds are governed by the Sotibuy Returns, Refunds & Cancellations Policy.

A Buyer may request a return or refund where the Product qualifies under the applicable policy or Nigerian law.

## 20. WRONG, DAMAGED OR DEFECTIVE PRODUCTS

Where a Buyer receives:

- The wrong Product.
- A materially defective Product.
- A materially damaged Product.
- A materially different Product.
- A counterfeit Product.

the Buyer should contact Sotibuy promptly through the designated support channel.

Sotibuy may investigate and provide an appropriate remedy.

## 21. CHANGE OF MIND

A Buyer does not automatically have an unrestricted right to return every Product simply because they have changed their mind.

Return eligibility may depend on:

- Product category.
- Product condition.
- Seller return terms.
- Applicable Sotibuy policy.
- Applicable Nigerian law.

Certain Products may be excluded from change-of-mind returns.

## 22. REFUNDS

Where a refund is approved, Sotibuy may refund the applicable amount using the original payment method or another appropriate method.

The time required for the refund to appear may depend on the payment provider or financial institution.
Buyers have up to three (3) days to return products and demand refund provided the product(s) are still in good conditions as previously delivered.

## 23. PAYMENT

Buyers must use an available and approved payment method.

Payment must be successfully authorized or confirmed before Sotibuy is required to process an Order, except where Sotibuy expressly permits another arrangement.

## 24. PAYMENT SECURITY

Sotibuy may use third-party payment service providers to process payments.

Buyers must not knowingly use:

- Stolen payment details.
- Fraudulent payment methods.
- Unauthorized accounts.
- False payment confirmations.

## 25. CASH OR OTHER PAYMENT METHODS

Where Sotibuy makes cash-on-delivery or another payment option available, additional conditions may apply.

Sotibuy may restrict certain payment methods based on:

- Product.
- Location.
- Order value.
- Buyer history.
- Fraud risk.
- Logistics requirements.

## 26. PROMOTIONS AND DISCOUNTS

Sotibuy may offer:

- Discount codes.
- Coupons.
- Vouchers.
- Promotional prices.
- Special campaigns.

Promotions may have specific eligibility requirements, expiry dates, usage limits or Product restrictions.

## 27. PROMOTIONAL ABUSE

Buyers must not:

- Create multiple accounts to obtain duplicate promotions.
- Use fraudulent information.
- Manipulate referral systems.
- Circumvent promotional limits.
- Engage in other promotional abuse.

Sotibuy may cancel transactions or restrict accounts involved in promotional abuse.

## 28. PRODUCT REVIEWS

Buyers may be permitted to review Products they have purchased.

Reviews should be:

- Honest.
- Relevant.
- Based on genuine experience.
- Respectful.
- Free from fraudulent manipulation.

## 29. PROHIBITED REVIEW ACTIVITIES

Buyers must not:

- Post fake reviews.
- Accept payment to create false reviews.
- Threaten Sellers with negative reviews.
- Create multiple accounts to manipulate ratings.
- Post deliberately misleading reviews.
- Use reviews to promote unrelated businesses.

## 30. BUYER CONDUCT

Buyers must use Sotibuy responsibly.

Buyers must not:

- Commit fraud.
- Harass Sellers or delivery personnel.
- Abuse Sotibuy staff.
- Attempt unauthorized access.
- Manipulate Orders.
- Submit knowingly false complaints.
- Abuse refunds or returns.
- Use Sotibuy for unlawful activities.

## 31. FRAUD AND ABUSE

Sotibuy may investigate suspicious activity involving:

- Orders.
- Payments.
- Refunds.
- Returns.
- Accounts.
- Promotions.
- Reviews.

Where fraud or serious abuse is reasonably suspected, Sotibuy may take appropriate action.

## 32. ACCOUNT SUSPENSION

Sotibuy may suspend or restrict a Buyer account where reasonably necessary because of:

- Fraud.
- Repeated policy violations.
- Payment abuse.
- Return or refund abuse.
- Security concerns.
- Illegal activity.
- Serious marketplace misconduct.

## 33. ACCOUNT TERMINATION

Sotibuy may terminate an account where a Buyer seriously or repeatedly violates these Terms or applicable policies.

Termination does not remove obligations or liabilities that arose before termination.

## 34. INTELLECTUAL PROPERTY

The Sotibuy name, logo, Platform design, original content and other Sotibuy intellectual property belong to Sotibuy or its respective licensors.

Buyers must not copy, reproduce, distribute or commercially exploit Sotibuy intellectual property without authorization.

## 35. THIRD-PARTY SERVICES

Sotibuy may rely on third-party providers for services including:

- Payment processing.
- Delivery.
- Communication.
- Technology infrastructure.
- Other marketplace services.

The use of third-party services may be subject to their applicable terms and conditions.

## 36. MARKETPLACE ROLE

Sotibuy provides and operates the marketplace through which Buyers and Sellers interact.

Except where expressly stated otherwise, Sellers remain responsible for the legality, authenticity, quality and accuracy of their Products.

Nothing in these Terms removes any responsibility or consumer right that cannot legally be excluded.

## 37. CONSUMER RIGHTS

Nothing in these Terms is intended to exclude or restrict any mandatory consumer rights available to Buyers under applicable Nigerian law.

Where a provision of these Terms conflicts with a mandatory legal right, the applicable law will prevail.

## 38. LIMITATION OF LIABILITY

To the extent permitted by Nigerian law, Sotibuy will not be responsible for losses arising from matters outside its reasonable control.

This may include:

- Natural disasters.
- Government restrictions.
- Major network failures.
- Widespread payment-system failures.
- Events affecting transportation.
- Other circumstances beyond reasonable control.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

## 39. FORCE MAJEURE

Sotibuy will not be considered in breach of these Terms where performance is materially prevented or delayed by circumstances beyond its reasonable control.

## 40. COMMUNICATIONS

By creating a Sotibuy account, Buyers may receive communications relating to:

- Orders.
- Deliveries.
- Payments.
- Returns.
- Refunds.
- Account security.
- Important service updates.

Marketing communications may be managed through available communication preferences.

## 41. PRIVACY

Sotibuy's collection and use of personal information is governed by the Sotibuy Privacy Policy.

By using Sotibuy, Buyers acknowledge that their information may be processed as described in the Privacy Policy and as permitted or required by applicable law.

## 42. DISPUTES

Buyers should first contact Sotibuy customer support regarding complaints or disputes.

Sotibuy will make reasonable efforts to resolve marketplace disputes fairly.

Nothing in this section prevents a Buyer from exercising a legal right available under Nigerian law.

## 43. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, subject to mandatory consumer-protection rights.

## 44. POLICY CHANGES

Sotibuy may update these Terms where reasonably necessary.

Where material changes affect Buyers, Sotibuy may provide appropriate notice through the Platform or other available communication channels.

## 45. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

## 46. ENTIRE AGREEMENT

These Terms, together with the applicable Sotibuy policies referenced in them, constitute the terms governing the Buyer's use of Sotibuy, subject to any specific terms presented for particular Products, Orders or services.

## 47. BUYER ACCEPTANCE

By checking the applicable acceptance box, clicking "I Agree", creating a Sotibuy account, placing an Order or otherwise using Sotibuy as a Buyer, you confirm that:

- You have read and understood these Terms.
- You agree to comply with these Terms.
- You agree to the applicable Sotibuy policies.
- You will provide accurate information.
- You will use Sotibuy lawfully and responsibly.
