# COMMISSION & SELLER SETTLEMENT POLICY *Last updated: Sept 2026* ## 1. PURPOSE This Commission & Seller Settlement Policy explains how Sotibuy charges marketplace commission and settles funds due to Sellers for completed sales. The purpose of this Policy is to provide Sellers with a simple, transparent and predictable understanding of what they pay to Sotibuy when they sell Products through the marketplace. This Policy forms part of the Sotibuy Seller Agreement and applies to all approved Sellers using the Sotibuy marketplace. 2. SOTIBUY'S SELLER-FRIENDLY COMMISSION MODEL Sotibuy is committed to maintaining a competitive and seller-friendly marketplace. Sotibuy's standard marketplace commission is based on the Product category. Under the standard arrangement, the Seller pays the applicable Sotibuy commission on a completed Product sale. Sotibuy does not ordinarily charge Sellers separate platform subscription fees, listing fees or routine marketplace service fees unless expressly introduced and communicated under a separate commercial arrangement. ## 3. CURRENT SOTIBUY COMMISSION RATES The current launch commission rates are: PRODUCT CATEGORY| SOTIBUY COMMISSION Food & Groceries| 3.5% Drinks & Beverages| 3.5% Fresh Produce| 3% Household| 4% Beauty & Personal Care| 5% Phones & Gadgets| 3% Fashion| 5% Baby & Kids| 4% Books| 3% These rates apply unless Sotibuy communicates a different rate for a particular Seller, Product category, promotion or special commercial arrangement. ## 4. HOW THE COMMISSION WORKS The applicable Sotibuy commission is calculated on the Product selling price. For example: Product selling price: ₦20,000 Applicable commission: 5% Sotibuy commission: ₦1,000 Seller's standard settlement: ₦19,000 This means that, under the standard arrangement, the Seller knows in advance that Sotibuy's marketplace commission on a ₦20,000 Product at a 5% commission rate is ₦1,000. ## 5. DELIVERY AND LOGISTICS Sotibuy will manage delivery and logistics for Orders placed through the Sotibuy Platform, subject to available delivery coverage and applicable service arrangements. The Seller is responsible for: - Preparing the correct Product. - Packaging the Product appropriately and securely. - Making the Product available for collection. - Providing accurate information required for fulfilment. - Cooperating with Sotibuy or its designated logistics partner. The Buyer will ordinarily pay the applicable delivery fee. The delivery fee is separate from the Product selling price and is not included in the calculation of Sotibuy's Product commission. Sotibuy may determine the applicable delivery fee based on factors including: - Delivery location. - Distance. - Product size or weight. - Delivery method. - Delivery urgency. - Applicable logistics costs. - Other reasonable operational factors. The delivery fee paid by the Buyer is not part of the Seller's Product sale proceeds and is not ordinarily paid to the Seller as Product revenue. ## 6. NO ROUTINE DEDUCTION FOR ORDINARY DELIVERY Sotibuy will ordinarily not deduct its normal delivery and logistics costs from the Seller's Product proceeds. The Buyer pays the applicable delivery fee for the Order. However, where additional logistics costs arise directly because of a Seller's action or failure, Sotibuy may recover the reasonable applicable cost from the Seller where permitted by the Seller Agreement and applicable law. Examples include: - Sending the wrong Product. - Sending an incomplete Order. - Providing materially inaccurate collection information. - Failing to make an Order available for collection. - Inadequate packaging causing avoidable damage. - Causing an unnecessary repeat delivery. ## 7. STANDARD SELLER SETTLEMENT Under the standard Sotibuy arrangement: Product Selling Price LESS Applicable Sotibuy Commission = Seller's Standard Settlement Amount No ordinary payment-processing, platform, listing or routine logistics charge will automatically be added to the Seller's standard settlement calculation unless expressly communicated as an applicable Seller charge. ## 8. PAYMENT-PROCESSING COSTS Sotibuy may incur payment-processing costs when Buyers pay for Products. These costs are ordinarily treated as part of Sotibuy's operating costs and will not automatically be deducted from the Seller's proceeds. Where Sotibuy introduces a specific Seller-funded payment service or payment-related charge, the applicable charge will be clearly communicated to the Seller before it applies. ## 9. TAXES AND STATUTORY DEDUCTIONS Sotibuy will not ordinarily deduct taxes from a Seller's proceeds merely as an additional marketplace charge. However, where Sotibuy is legally required by Nigerian law to withhold, collect or remit a tax or other statutory amount on behalf of a Seller, the applicable amount may be deducted. Where such a deduction is required, Sotibuy will provide or make available appropriate information relating to the deduction where required by law. ## 10. SELLER PAYOUTS Sotibuy will establish and communicate the applicable Seller payout schedule. Following successful completion of an Order, the Seller's eligible proceeds will be processed for settlement according to the applicable payout schedule. Sotibuy may apply a reasonable processing period before funds become available for withdrawal or transfer. ## 11. EXAMPLE OF A NORMAL SALE Example: Product price: ₦20,000 Delivery fee paid by Buyer: ₦2,000 Buyer pays total: ₦22,000 Product category commission: 5% Sotibuy commission: ₦1,000 Seller's standard settlement: ₦19,000 The ₦2,000 delivery fee is separate from the Product price and is used for the applicable delivery and logistics arrangement. The Seller's normal cost for the marketplace transaction in this example is the ₦1,000 Sotibuy commission. ## 12. REFUNDS Where a Buyer is entitled to a refund under applicable law or the Sotibuy Returns & Refund Policy, Sotibuy may process the refund. Where the refund results from a Seller-related issue, including: - Wrong Product. - Defective Product. - Materially inaccurate Product description. - Counterfeit Product. - Expired Product where applicable. - Seller failure to fulfil the Order. the corresponding transaction amount may be recovered from the Seller's proceeds, subject to applicable law and Sotibuy policy. Where appropriate, Sotibuy may reverse the commission associated with the refunded transaction. ## 13. BUYER CANCELLATION Where a Buyer cancels an Order before completion and the Seller has not incurred a relevant fulfilment obligation, the Seller will ordinarily not be charged the completed-sale commission. Where the Order has already been prepared, collected or dispatched, the applicable cancellation, return and logistics provisions will apply. ## 14. SELLER CANCELLATION Where a Seller cancels an Order for a legitimate reason before completion, the Seller will ordinarily not be charged the normal completed-sale commission. Repeated or unjustified cancellations may result in Seller performance measures under the Sotibuy Seller Agreement and applicable policies. Where a Seller's conduct causes additional and avoidable logistics or operational costs, Sotibuy may recover reasonable applicable costs from the Seller where permitted by the Seller Agreement and applicable law. ## 15. CHARGEBACKS AND REVERSED PAYMENTS Where a Buyer payment is reversed, disputed or charged back, Sotibuy may temporarily hold the affected amount while the matter is reviewed. If the payment is ultimately reversed, the affected transaction amount may be deducted from the Seller's balance. Where the issue results from Seller fraud, unauthorized transactions, Product misrepresentation or other Seller misconduct, the Seller may be responsible for the resulting loss to the extent permitted by law. ## 16. PROMOTIONAL DISCOUNTS Sotibuy may offer promotional programmes including: - Discounts. - Coupons. - Vouchers. - Flash sales. - Special campaigns. - Other marketing promotions. Where a promotion affects Seller proceeds, Sotibuy will communicate the applicable arrangement before or at the time of participation where reasonably practicable. ## 17. SELLER-FUNDED PROMOTIONS Where a Seller voluntarily participates in a promotion funded by the Seller, the applicable discount and settlement arrangement will be communicated before participation. The Seller will be able to determine the commercial impact of the promotion before committing to it. ## 18. SOTIBUY-FUNDED PROMOTIONS Where Sotibuy funds a promotion, Sotibuy may determine the promotional structure and how the promotional cost is allocated. Unless expressly stated otherwise, Seller proceeds will not be reduced merely because Sotibuy independently funds a promotional campaign. ## 19. CATEGORY CLASSIFICATION Sotibuy determines the appropriate Product category for commission purposes based on the nature and characteristics of the Product. Where a Product reasonably falls within more than one category, Sotibuy may assign the category it considers appropriate. Sellers may contact Sotibuy if they believe a Product has been incorrectly categorized. ## 20. NEW PRODUCT CATEGORIES Where a Product belongs to a category not currently listed in this Policy, Sotibuy will communicate the applicable commission rate before the Seller lists or sells the Product where reasonably practicable. Sotibuy may introduce additional categories as the marketplace expands. ## 21. SPECIAL SELLER ARRANGEMENTS Sotibuy may offer special commission rates or commercial arrangements to individual Sellers or groups of Sellers. These may include arrangements for: - High-volume Sellers. - Strategic Sellers. - Manufacturers. - Distributors. - Promotional campaigns. - Special partnerships. - Other mutually agreed arrangements. Any special arrangement will be communicated through an official Sotibuy channel. ## 22. REVIEW OF COMMISSION RATES Sotibuy may periodically review its commission rates. Any review may take into consideration: - Marketplace operating costs. - Category economics. - Market conditions. - Payment-processing costs. - Customer service costs. - Returns. - Fraud and chargebacks. - Logistics requirements. - Regulatory developments. - Growth and expansion of Sotibuy. Sotibuy will provide appropriate notice of material changes affecting future transactions, subject to applicable law. ## 23. NO HIDDEN SELLER CHARGES Sotibuy is committed to transparent Seller pricing. Sotibuy will not advertise a commission rate and secretly deduct an undisclosed marketplace commission from the Seller's proceeds. Any new routine Seller charge will be clearly communicated before it applies, subject to applicable law. ## 24. SELLER SETTLEMENT DISPUTES If a Seller believes that the amount settled is incorrect, the Seller may contact Sotibuy through the designated Seller support channel. The Seller should provide: - Order number. - Transaction reference. - Date of transaction. - Amount in dispute. - Explanation of the issue. - Relevant supporting information. Sotibuy will review the transaction and make any necessary correction where an error is identified. ## 25. PAYOUT INFORMATION Sellers must provide accurate and valid payout information. Sotibuy may verify payout information before processing certain settlements. A Seller is responsible for losses resulting from incorrect or unauthorized payout information supplied by the Seller, except where liability cannot lawfully be excluded. ## 26. PAYOUT FAILURE Where a payout cannot be completed because of: - Incorrect bank information. - Invalid account information. - Bank rejection. - Account restrictions. - Compliance concerns. - Payment-provider restrictions. - Fraud investigation. - Other legitimate reasons. Sotibuy may delay settlement until the issue is resolved. ## 27. MINIMUM PAYOUT THRESHOLD Sotibuy may establish a minimum amount required before a Seller payout is processed. Where a minimum payout threshold applies, the applicable threshold will be communicated through the Seller Platform or an official Sotibuy communication channel. ## 28. SELLER ACCOUNT BALANCE Where Seller balance functionality is available, Sellers may be able to view relevant transaction information, including: - Product sales. - Sotibuy commission. - Refunds. - Chargebacks. - Adjustments. - Available balance. - Settled amounts. ## 29. RECORD KEEPING Sotibuy may maintain records relating to: - Orders. - Payments. - Commissions. - Refunds. - Chargebacks. - Adjustments. - Seller settlements. - Promotional arrangements. - Seller acceptance of applicable policies. These records may be used for accounting, reconciliation, dispute resolution, security, compliance and legitimate business purposes. ## 30. POLICY CHANGES Sotibuy may update this Policy where reasonably necessary. Where a material change affects Seller charges or settlement arrangements, Sotibuy will provide appropriate notice before the change applies to future transactions, subject to applicable law. ## 31. RELATIONSHIP WITH THE SELLER AGREEMENT This Policy forms part of the Sotibuy Seller Agreement. Where this Policy provides specific rules concerning commission or Seller settlement, those provisions apply to the relevant matter, subject to applicable law. Where a specific written commercial arrangement has been agreed between Sotibuy and a Seller, that arrangement will apply to the extent expressly agreed. ## 32. SELLER ACKNOWLEDGEMENT By clicking "I Agree", checking the applicable acceptance box, or otherwise electronically accepting the Sotibuy Seller Agreement and applicable Seller Policies, the Seller acknowledges and agrees that: - The Seller understands the applicable Sotibuy commission rate. - The Seller understands that the standard marketplace charge is the applicable Sotibuy commission. - The Seller understands that Buyers ordinarily pay delivery fees. - The Seller understands that Sotibuy manages delivery and logistics. - The Seller understands that exceptional deductions may apply where expressly provided by this Policy, the Seller Agreement or applicable law. - The Seller agrees to comply with this Commission & Seller Settlement Policy. - The Seller agrees to comply with the Sotibuy Seller Agreement and other applicable Sotibuy policies.
