# SELLER AGREEMENT

## 1. INTRODUCTION
This Seller Agreement ("Agreement") governs the relationship between Sotibuy and every approved seller ("Seller") who offers Products through the Sotibuy marketplace.
By applying to become a Seller, accepting this Agreement electronically, and/or continuing to sell Products through Sotibuy, the Seller agrees to be bound by this Agreement, the Sotibuy Terms & Conditions, Seller Eligibility & Requirements, Seller Policies, Commission & Seller Settlement Policy and other applicable Sotibuy policies.
The Seller confirms that all information provided during registration, verification and subsequent dealings with Sotibuy is accurate and complete.
## 2. THE SOTIBUY MARKETPLACE
Sotibuy operates an online marketplace through which approved Sellers can display and sell Products to Buyers.
Unless expressly stated otherwise, Sotibuy provides the marketplace infrastructure and related services while Sellers remain independent merchants responsible for the Products they list and sell.
Sotibuy does not ordinarily take ownership of Products merely because they are listed or sold through the Platform.
The Seller remains responsible for the legality, authenticity, quality, accuracy and compliance of Products offered through Sotibuy.
## 3. SELLER ELIGIBILITY
Every Seller must satisfy the requirements contained in the Sotibuy Seller Eligibility & Requirements Policy.
Sotibuy may verify information including:
- Identity.
- Business information.
- Business registration where applicable.
- Seller location.
- Bank or payout information.
- Product information.
- Licences and permits where applicable.
- Other information reasonably required for marketplace verification.
Approval to sell on Sotibuy is subject to Sotibuy's verification and approval process.
## 4. SELLER ACCOUNT
The Seller will operate through the Seller account or Seller functionality provided by Sotibuy.
The Seller is responsible for:
- Protecting account credentials.
- Keeping account information accurate.
- Preventing unauthorized use.
- Updating information when it changes.
- Ensuring that persons acting on behalf of the Seller are properly authorized.
The Seller must promptly notify Sotibuy if the Seller suspects unauthorized access, fraud or other security concerns relating to the account.
## 5. SELLER INFORMATION
The Seller must provide accurate, complete and truthful information.
The Seller must not:
- Impersonate another person or business.
- Use false business information.
- Provide fraudulent documents.
- Misrepresent ownership.
- Provide unauthorized payment information.
- Mislead Sotibuy during verification.
Sotibuy may request additional information or verification where reasonably necessary.
## 6. SELLER STORE
An approved Seller may operate a store on Sotibuy.
The Seller is responsible for ensuring that its store name, description, branding, contact information and other representations are accurate and do not mislead Buyers.
A Seller must not use another person's name, trademark, logo, image or other intellectual property in a manner that falsely suggests affiliation or authorization.
## 7. PRODUCT LISTINGS
Every Product listed by a Seller must be:
- Accurate.
- Complete.
- Lawful.
- Properly categorized.
- Available for sale.
- Described honestly.
- Supported by genuine and appropriate images where images are used.
The Seller must ensure that the Product supplied to a Buyer materially corresponds with the Product listing.
The Seller must promptly update stock, pricing and Product information when circumstances change.
## 8. PRODUCT AUTHENTICITY
The Seller warrants that it has the legal right to sell every Product listed on Sotibuy.
The Seller must not sell or list:
- Counterfeit Products.
- Stolen Products.
- Fraudulently obtained Products.
- Unauthorized replicas.
- Products that infringe third-party rights.
- Products prohibited by law.
- Products prohibited by Sotibuy.
Sotibuy may request evidence of authenticity, ownership, source or authorization.
Failure to provide satisfactory evidence may result in removal of the Product, restriction of the Seller account, suspension or termination.
## 9. PRODUCT SAFETY AND COMPLIANCE
The Seller is responsible for ensuring that Products comply with applicable Nigerian laws, standards and safety requirements.
Where applicable, the Seller must provide:
- Accurate Product descriptions.
- Safety warnings.
- Ingredients.
- Expiry information.
- Batch information.
- Manufacturer information.
- Instructions for use.
- Required regulatory information.
- Required licences, approvals or certifications.
The Seller must immediately notify Sotibuy of any known Product safety issue, recall, regulatory action or other material concern relating to a Product.
## 10. PROHIBITED AND RESTRICTED PRODUCTS
The Seller must comply with the Sotibuy Prohibited & Restricted Products Policy.
A Product may be completely prohibited or may require additional verification, documentation, licensing or approval.
Sotibuy may remove or restrict a Product where it reasonably believes that the Product presents a legal, safety, fraud, authenticity or consumer-protection concern.
## 11. PRICING
The Seller is responsible for setting Product prices.
Prices must be:
- Accurate.
- Clearly stated.
- Applicable to the Product offered.
- Free from misleading representations.
The Seller must not deliberately manipulate prices or create false discounts.
## 12. SOTIBUY COMMISSION
Sotibuy charges a commission on successful Product sales.
The initial Sotibuy commission structure is:
Food & Groceries — 3.5%
Drinks & Beverages — 3.5%
Fresh Produce — 3%
Household — 4%
Beauty & Personal Care — 5%
Phones & Gadgets — 3%
Fashion — 5%
Baby & Kids — 4%
Books — 3%
Commission is calculated on the applicable Product selling price.
Delivery fees paid by the Buyer are separate from the Product selling price and are not included in Sotibuy's Product commission calculation unless expressly stated otherwise.
## 13. CHANGES TO COMMISSION RATES
Sotibuy may review its commission structure as the marketplace develops.
Changes may take into consideration:
- Operating costs.
- Payment-processing costs.
- Category economics.
- Customer service costs.
- Returns.
- Fraud and chargebacks.
- Market conditions.
- Logistics requirements.
- Regulatory requirements.
- New marketplace services.
Where a commission change materially affects an existing Seller, Sotibuy will provide appropriate notice before applying the new rate to future eligible transactions, subject to applicable law.
## 14. PAYMENT PROCESSING AND OTHER FEES
Payments may be processed through third-party payment service providers.
Payment-processing charges may apply to transactions.
Where applicable, such charges may be deducted from transaction proceeds or otherwise allocated according to the commercial arrangement communicated by Sotibuy.
Other Seller charges may include fees relating to optional services, promotions, advertising or other services where such charges have been clearly communicated to the Seller.
Applicable taxes and statutory deductions may be made where required by Nigerian law.
## 15. SELLER PAYOUTS
Following a successful transaction, applicable commissions, refunds, chargebacks, payment-processing charges, taxes, statutory deductions and other legitimate and disclosed adjustments may be deducted before the Seller's proceeds are settled.
The Seller's proceeds may generally be calculated as:
Product Sale Amount
LESS Sotibuy Commission
LESS applicable payment-processing charges
LESS applicable refunds, chargebacks or adjustments
LESS applicable taxes or statutory deductions
LESS other expressly applicable Seller charges
EQUALS Seller Amount Available for Settlement.
The applicable payout schedule will be communicated by Sotibuy.
## 16. DELIVERY AND LOGISTICS
Sotibuy will manage delivery and logistics for Orders placed through the Sotibuy Platform, subject to the delivery coverage and service options available at the time of the Order.
The Seller's responsibility is to:
- Prepare the correct Product.
- Package the Product appropriately and securely.
- Make the Order available for collection by Sotibuy or its designated logistics partner within the required timeframe.
- Provide accurate information necessary for fulfilment.
- Cooperate with Sotibuy regarding collection, delivery, returns and other logistics-related matters.
The Seller is not ordinarily responsible for delivering Products directly to Buyers.
Sotibuy may use its own logistics operations or engage third-party logistics providers.
The Buyer will ordinarily pay the applicable delivery fee associated with an Order.
Delivery fees may vary based on factors including:
- Delivery location.
- Distance.
- Product size or weight.
- Delivery method.
- Delivery urgency.
- Applicable logistics costs.
- Other operational factors.
Sotibuy may display the applicable delivery fee to the Buyer before the Order is completed.
## 17. SELLER ORDER FULFILMENT
Although Sotibuy manages delivery, the Seller remains responsible for preparing Orders correctly and making them available for collection.
The Seller must:
- Confirm Product availability.
- Prepare the correct Product.
- Package the Product appropriately.
- Make the Product available for collection within the required timeframe.
- Avoid unnecessary Order cancellations.
- Maintain accurate stock information.
Failure to fulfil Orders properly may result in Seller performance measures.
## 18. SELLER CANCELLATIONS
A Seller must not cancel an Order without a legitimate reason.
Repeated cancellations caused by poor stock management, inaccurate inventory information or failure to fulfil Orders may result in:
- Warning.
- Product restrictions.
- Temporary selling restrictions.
- Additional performance measures.
- Suspension.
- Termination.
## 19. DELIVERY FAILURES CAUSED BY SELLER
Where a delivery problem results from the Seller's failure to:
- Prepare the correct Product.
- Make the Product available for collection.
- Package the Product appropriately.
- Provide accurate information.
- Comply with reasonable fulfilment instructions.
the Seller may be responsible for reasonable resulting costs to the extent permitted by applicable law and Sotibuy policy.
Ordinary delivery operations, including the actions of Sotibuy or its logistics partners, will ordinarily remain Sotibuy's responsibility.
## 20. RETURNS AND REFUNDS
The Seller agrees to comply with the Sotibuy Returns & Refund Policy and applicable Nigerian consumer-protection law.
Where a Buyer is legally or contractually entitled to a return, refund, replacement or other remedy, the Seller must cooperate with Sotibuy in resolving the matter.
Where a return or refund results from a Seller's Product, listing, conduct, fulfilment failure, defect, wrong Product, counterfeit Product or other Seller responsibility, the applicable amount may be charged against the Seller's proceeds, subject to applicable law.
## 21. WRONG, DAMAGED OR DEFECTIVE PRODUCTS
Where a Buyer receives:
- The wrong Product.
- A materially different Product.
- A defective Product.
- A damaged Product caused by inadequate Seller packaging.
- A counterfeit Product.
- An expired Product where applicable.
the Seller may be required to provide a replacement, refund or other appropriate remedy in accordance with applicable law and Sotibuy policy.
## 22. CUSTOMER SERVICE
The Seller must deal professionally and honestly with customers.
The Seller must not:
- Abuse customers.
- Threaten customers.
- Harass customers.
- Mislead customers.
- Encourage customers to submit false complaints.
- Manipulate reviews or ratings.
- Refuse to cooperate with legitimate dispute resolution.
## 23. CUSTOMER DATA
A Seller may receive limited customer information necessary to fulfil an Order.
The Seller must use customer information only for legitimate purposes connected with the transaction and applicable Sotibuy services.
The Seller must not:
- Sell customer information.
- Add customers to unrelated marketing lists without a lawful basis.
- Share customer information improperly.
- Use customer information for unrelated commercial purposes without appropriate legal basis or consent.
- Retain unnecessary customer information indefinitely.
The Seller must take reasonable steps to protect customer information in its possession.
## 24. OFF-PLATFORM TRANSACTIONS
A Seller must not deliberately use information obtained through Sotibuy to move transactions outside Sotibuy for the purpose of avoiding legitimate Sotibuy commissions, customer protections, marketplace safeguards or other controls.
This does not prevent lawful communication necessary to fulfil an Order or comply with applicable law.
## 25. REVIEWS AND RATINGS
Sellers must not manipulate customer reviews or ratings.
Prohibited conduct includes:
- Creating fake reviews.
- Paying for fraudulent reviews.
- Threatening customers for negative reviews.
- Offering improper incentives for positive reviews.
- Asking customers to submit dishonest information.
## 26. INTELLECTUAL PROPERTY
The Seller warrants that Product images, descriptions, logos, trademarks and other materials uploaded to Sotibuy are either owned by the Seller or used with appropriate authorization.
The Seller must not knowingly infringe another person's intellectual-property rights.
Where Sotibuy receives a credible intellectual-property complaint, Sotibuy may restrict or remove the affected listing while the matter is investigated.
## 27. ADVERTISING AND PROMOTIONS
Sotibuy may offer Sellers opportunities to participate in advertising, promotional campaigns, discounts, vouchers and other marketing programmes.
Participation may be subject to additional terms, fees or conditions communicated before participation.
A Seller must not falsely advertise discounts, promotions or Product claims through Sotibuy.
## 28. SELLER PERFORMANCE
Sotibuy may monitor Seller performance using reasonable marketplace indicators including:
- Order fulfilment.
- Cancellation rate.
- Customer complaints.
- Product quality.
- Return rate.
- Collection readiness.
- Customer ratings.
- Policy compliance.
- Other legitimate marketplace performance indicators.
Sotibuy may use performance information to protect Buyers and improve marketplace quality.
## 29. FRAUD AND MARKETPLACE MANIPULATION
A Seller must not engage in:
- Fake Orders.
- Fake reviews.
- Payment fraud.
- Price manipulation.
- Account manipulation.
- Multiple-account abuse.
- Transaction manipulation.
- Counterfeit sales.
- Misrepresentation.
- Any other fraudulent marketplace activity.
## 30. ADDITIONAL VERIFICATION
Sotibuy may conduct additional verification after a Seller has been approved.
A Seller must cooperate with reasonable verification requests.
Failure to cooperate may result in temporary restriction, suspension or other appropriate action.
## 31. SUSPENSION
Sotibuy may temporarily suspend or restrict a Seller where reasonably necessary to:
- Protect customers.
- Investigate suspected fraud.
- Investigate counterfeit Products.
- Investigate unsafe Products.
- Investigate serious complaints.
- Protect payment integrity.
- Protect the Platform.
- Comply with legal or regulatory requirements.
- Address material breaches of this Agreement.
## 32. TERMINATION
Sotibuy may terminate the Seller relationship where a Seller:
- Commits serious fraud.
- Repeatedly violates Sotibuy policies.
- Sells counterfeit Products.
- Sells prohibited Products.
- Repeatedly fails to fulfil Orders.
- Misuses customer information.
- Provides fraudulent verification information.
- Seriously harms marketplace trust or security.
- Materially breaches this Agreement.
Where appropriate, Sotibuy may provide notice and an opportunity to respond before termination.
Immediate action may be taken where reasonably necessary to protect customers, the public, Sellers or the Platform.
## 33. VOLUNTARY SELLER CLOSURE
A Seller may request closure of its Seller account.
Closing an account does not remove obligations relating to:
- Pending Orders.
- Returns.
- Refunds.
- Customer complaints.
- Outstanding payments.
- Legal obligations.
- Intellectual-property disputes.
- Other obligations arising before closure.
## 34. LIABILITY
The Seller remains responsible for Products, information and conduct under the Seller's control.
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded under Nigerian law.
The Seller remains responsible for losses or claims arising from the Seller's unlawful conduct, fraud, counterfeit Products, infringement of third-party rights, material misrepresentation or breach of this Agreement, to the extent permitted by law.
## 35. INDEMNITY
To the extent permitted by Nigerian law, the Seller agrees to indemnify Sotibuy against reasonable losses, claims, liabilities, costs and expenses arising directly from the Seller's:
- Fraudulent conduct.
- Breach of this Agreement.
- Sale of counterfeit or unlawful Products.
- Materially misleading Product information.
- Infringement of third-party rights.
- Violation of applicable law.
- Misuse of customer information.
This provision does not require the Seller to indemnify Sotibuy for Sotibuy's own liability that cannot lawfully be transferred to the Seller.
## 36. CONFIDENTIAL INFORMATION
The Seller must not misuse confidential information obtained through its relationship with Sotibuy.
Confidential information may include non-public commercial, technical, financial, security or operational information.
This obligation continues after the Seller relationship ends to the extent permitted by law.
## 37. INDEPENDENT SELLER RELATIONSHIP
The Seller operates as an independent merchant.
Nothing in this Agreement creates a partnership, employment relationship, agency or joint venture between Sotibuy and the Seller unless expressly agreed in writing.
The Seller remains responsible for its own business operations, employees, taxes, licences and regulatory obligations.
## 38. TAXES
The Seller is responsible for taxes and statutory obligations arising from its business and sales, except to the extent Sotibuy is legally required to withhold, collect or remit a tax.
Sotibuy may make statutory deductions where required by Nigerian law.
## 39. RECORDS
Sotibuy may maintain records relating to:
- Seller registration.
- Verification.
- Orders.
- Payments.
- Returns.
- Refunds.
- Complaints.
- Communications.
- Policy acceptance.
- Account activity.
- Seller performance.
Such records may be used for legitimate operational, security, dispute-resolution, compliance and legal purposes.
## 40. CHANGES TO THIS AGREEMENT
Sotibuy may update this Agreement where reasonably necessary because of:
- Changes in marketplace operations.
- Changes in law.
- Regulatory developments.
- New services.
- Security requirements.
- Changes in commercial structure.
Where a material change affects existing Sellers, Sotibuy will provide appropriate notice and, where required, obtain renewed acceptance.
## 41. DISPUTE RESOLUTION
The Seller should first attempt to resolve disputes through Sotibuy's internal Seller support and dispute-resolution process.
Where a dispute cannot be resolved internally, the parties may pursue their rights and remedies under applicable Nigerian law.
## 42. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, subject to applicable mandatory legal requirements.
## 43. ELECTRONIC ACCEPTANCE
The Seller's electronic acceptance of this Agreement through the Sotibuy Platform constitutes acceptance of this Agreement, subject to applicable law.
Sotibuy may retain records showing the Seller's acceptance, including the applicable version, date and time of acceptance.
## 44. ENTIRE AGREEMENT
This Seller Agreement, together with the Sotibuy Terms & Conditions, Seller Eligibility & Requirements, Commission & Seller Settlement Policy, Prohibited & Restricted Products Policy, Returns & Refund Policy and other applicable Seller Policies, forms the contractual framework governing the Seller's participation on the Sotibuy marketplace.
Where a specific policy contains more detailed rules concerning a particular subject, that specific policy will apply to that subject, subject to applicable law.
## 45. SELLER ACKNOWLEDGEMENT
By clicking "I Agree", checking the applicable acceptance box, or otherwise electronically accepting this Agreement, the Seller confirms that:
- The information supplied to Sotibuy is accurate.
- The Seller has reviewed this Agreement.
- The Seller agrees to comply with this Agreement.
- The Seller agrees to comply with applicable Sotibuy policies.
- The Seller will comply with Nigerian law.
- The Seller understands the applicable commission structure.
- The Seller understands that applicable commissions, refunds, chargebacks, payment-processing charges, taxes and other disclosed deductions may affect Seller proceeds.
- The Seller understands that Sotibuy handles delivery and logistics for Orders and that the Buyer ordinarily pays the applicable delivery fee.
